Be Kindr Inc. ("Be Kindr," "we," "us," or "our") welcomes you. We invite you to access and use our website located at https://www.be-kindr.com/ (the "Website") and share stories of kindness from around the world ("Stories"), subject to the following terms and conditions ("Terms of Service").

By visiting our Website and/or submitting Stories, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service and the terms and conditions of our Privacy Policy, which are hereby incorporated by reference (collectively, the "Agreement"). If you do not agree to any of the terms in the Agreement, you may not access or use the Website or submit Stories.

We reserve the right, at our sole discretion, to modify, discontinue, or terminate the Website, or to modify the Agreement, at any time and without prior notice. If we modify the Agreement, we will post the modification on the Website. By continuing to access or use the Website after we have posted a modification, you are indicating that you agree to be bound by the modified Agreement.

To submit Stories through our Website, you may be required to create an account by providing your name and email address and creating a password (collectively, the "Account Credentials"). You will promptly inform us of any need to deactivate or change any Account Credential or of any actual or suspected unauthorized use of your account. We reserve the right to delete or change your Account Credential at any time and for any reason.

5. User Conduct and Community Guidelines

You may use the Website only for lawful purposes and in accordance with this Agreement. You agree to:

Post only Stories that are truthful and positively contribute to the community
Not post content that infringes intellectual property rights
Not use automated means to access the Website
Not post false, fraudulent, or misleading information

Notify us immediately of any content that violates this Agreement

6. User-Generated Content (Stories)

Ownership and License

You retain all ownership rights to your Stories. However, by submitting a Story to Be Kindr, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your Story in connection with the Website and Be Kindr's business, including for promoting and marketing Be Kindr in any media formats and through any media channels.

Content Guidelines

Stories must:

Describe genuine acts of kindness between people
Be truthful and accurate to the best of your knowledge
Respect the privacy of others (use first names only)
Be appropriate for all audiences
Not contain advertising or promotional content
Not infringe on any third-party intellectual property or privacy rights

Geographic Information

Stories include location data (city, country, geographic coordinates). By submitting a Story, you consent to this information being displayed publicly on our interactive map.

Moderation Rights

We reserve the right to review, edit for clarity or length, reject, or remove any Story at our sole discretion, including Stories that violate these Terms of Service, are false or misleading, contain personal information, are spam or promotional, or could create liability for Be Kindr.

No Compensation

You will not receive any compensation for Stories you submit. Stories are submitted voluntarily as contributions to the Be Kindr community.

7. Intellectual Property

We retain all right, title, and interest in and to the Website, all software and technology relating to the Website, and all content made available through the Website, together with all intellectual property rights embodied therein. The trademarks, service marks, and logos of Be Kindr used and displayed on the Website are registered and unregistered trademarks of Be Kindr Inc. Nothing on the Website should be construed as granting any license or right to use these trademarks without our prior written permission.

8. No Warranties; Limitation of Liability

THE WEBSITE AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. BE KINDR DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ERROR-FREE OR UNINTERRUPTED OPERATION.

IN NO EVENT SHALL BE KINDR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE WEBSITE. ANY DIRECT DAMAGES SHALL BE LIMITED TO ONE HUNDRED DOLLARS ($100).

9. Binding Arbitration

Any dispute arising under or relating to this Agreement or the Website will be finally and exclusively resolved by binding arbitration governed by the Federal Arbitration Act. NEITHER PARTY SHALL HAVE THE RIGHT TO LITIGATE SUCH CLAIM IN COURT OR TO HAVE A JURY TRIAL, except either party may bring its claim in small claims court if permitted. The arbitration shall be conducted by JAMS pursuant to its Comprehensive Arbitration Rules.

10. Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY.

11. Governing Law

This Agreement will be governed by the laws of the State of Delaware without regard to its conflict of laws provisions. For disputes not subject to arbitration, the parties consent to the exclusive jurisdiction of state and federal courts in the State of Delaware.
